By accessing or using the Rank4Sure website at rank4sure.com (the "Site"), submitting a contact form, requesting a proposal, or engaging our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use our Site or services.

These Terms apply to all visitors, prospective clients, and active clients of Rank4Sure ("we," "us," or "our"), a digital marketing agency based in Ottawa, Ontario, Canada, operating since 2014.

Rank4Sure provides professional digital marketing and technology services, including but not limited to:

Search engine optimization (SEO) — on-page, off-page, technical, local, e-commerce, and YouTube SEO; pay-per-click (PPC) and paid advertising management; social media marketing and management; content marketing and email marketing; website design and development (WordPress, React, Next.js, and custom builds); mobile app development; website speed optimization; video creation and marketing; Google Business Profile optimization (as part of local SEO services); and related consulting, audits, and strategy services.

Specific deliverables, timelines, and pricing for each engagement are defined in a written proposal, statement of work, or service agreement ("Service Agreement") provided to you before work begins. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail for that specific engagement.

You agree to use our Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the Site. You may not:

Attempt to gain unauthorized access to any part of the Site, our servers, or connected systems; use automated tools (bots, scrapers, crawlers) to extract data from the Site without our written consent; transmit malware, spam, or harmful code; misrepresent your identity or affiliation; or use content from the Site for commercial redistribution without permission.

We reserve the right to restrict or terminate access to the Site for any user who violates these Terms or engages in conduct we deem harmful to Rank4Sure or other users.

All paid services require acceptance of a proposal or Service Agreement outlining scope, fees, payment schedule, and project milestones. Work commences only after the agreed initial payment or signed authorization is received, unless otherwise stated in writing.

Requests for additional work outside the original scope ("change requests") may require a revised proposal and additional fees. We will communicate any scope changes before proceeding.

Rank4Sure reserves the right to decline or discontinue services if a client fails to provide required access, materials, approvals, or payments within reasonable timeframes, or if the working relationship becomes unproductive or abusive.

Fees are quoted in the currency specified in your proposal (typically USD or CAD). Payment terms — including due dates, retainer requirements, and accepted payment methods — are set out in your Service Agreement.

Invoices are due upon receipt unless otherwise agreed. Late payments may result in suspension of services, accrual of interest at 1.5% per month (or the maximum permitted by law), and collection of reasonable administrative costs.

Refund eligibility is governed by our separate Refund Policy. Digital marketing and SEO services are generally non-refundable once work has commenced, except as expressly stated in your Service Agreement or applicable refund policy.

To deliver results, clients must cooperate in good faith by providing timely access to websites, hosting accounts, analytics platforms, advertising accounts, brand assets, content approvals, and any other materials reasonably required for the project.

You are responsible for the accuracy of information you supply to us, including business details, product descriptions, and compliance with applicable laws in your industry (e.g., healthcare, finance, legal advertising regulations).

Delays caused by late client feedback, missing credentials, or failure to approve deliverables may extend project timelines without liability to Rank4Sure.

Upon full payment for custom deliverables (websites, graphics, copy, code, and creative assets created specifically for you), ownership transfers to you as defined in your Service Agreement. Rank4Sure retains the right to display completed work in our portfolio and marketing materials unless a confidentiality clause states otherwise.

Pre-existing tools, frameworks, templates, proprietary methodologies, and general knowledge remain the property of Rank4Sure. Third-party licensed assets (stock images, plugins, fonts, software) are subject to their respective license terms.

All content on the Rank4Sure Site — including text, design, logos, and graphics — is protected by copyright and may not be copied or reused without our written permission.

Both parties agree to keep confidential any non-public business information shared during the course of an engagement, including strategy documents, analytics data, credentials, and proprietary processes, except where disclosure is required by law or authorized in writing.

Rank4Sure may use aggregated, anonymized data for internal reporting and industry benchmarking without identifying individual clients.

Our services often involve third-party platforms such as Google (Search, Ads, Analytics, Business Profile), Meta (Facebook, Instagram), Microsoft Advertising, YouTube, WordPress, hosting providers, email service providers, and SEO tools. Your use of these platforms is subject to their respective terms of service and policies.

Rank4Sure is not responsible for changes to third-party algorithms, account suspensions, policy enforcement actions, or platform outages beyond our reasonable control. We will make commercially reasonable efforts to adapt strategies when platform changes occur.

To the fullest extent permitted by applicable law, Rank4Sure shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising from your use of our Site or services.

Our total liability for any claim arising from a specific Service Agreement shall not exceed the total fees paid by you to Rank4Sure under that agreement in the twelve (12) months preceding the claim.

Digital marketing and SEO results vary based on industry, competition, website history, budget, and search engine algorithm changes. Rank4Sure does not guarantee specific rankings, traffic levels, lead volumes, or revenue outcomes unless explicitly stated in a signed written guarantee.

The Site and its content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Information on our Site and blog is for general informational purposes and does not constitute legal, financial, or professional advice specific to your situation.

Either party may terminate an ongoing service engagement according to the cancellation terms in the applicable Service Agreement. Monthly retainers typically require thirty (30) days written notice unless otherwise specified.

Upon termination, you remain responsible for fees owed for work completed through the termination date. Rank4Sure will provide reasonable transition assistance (e.g., account access handover) upon receipt of outstanding payments.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising from these Terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to the courts of Ontario, Canada, and you consent to the exclusive jurisdiction of those courts.

We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Continued use of the Site or services after changes are posted constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
